Please read these Terms & Conditions carefully before using our website or engaging our services. These terms are intended to describe the general framework for our business relationship. Specific project proposals, statements of work, or signed agreements may contain additional terms.
Introduction
These Terms & Conditions ("Terms") govern your access to and use of our website, digital products, and technology services. In these Terms, "we", "our", or "us" refers to your company, and "you" or "client" refers to the person or organization using our services.
By accessing our website, requesting a quotation, approving a proposal, or engaging our services, you acknowledge that these Terms may apply to your use or engagement, subject to any separate written agreement signed by the parties.
If a signed contract or project-specific agreement conflicts with these general Terms, the signed agreement will govern to the extent stated in that agreement.
Our Services
We provide technology and digital business services that may include the following, depending on the proposal or agreement accepted by the client:
Web Development
Website design, development, integrations, maintenance, and technical improvements.
Mobile App Development
Mobile applications, application programming interfaces, and related support services.
UI/UX & Digital Marketing
User experience design, prototypes, digital campaigns, and optimization services.
Cloud Solutions
Cloud deployment, infrastructure configuration, hosting integrations, and related services.
E-commerce & CRM
Online stores, customer management workflows, order processing, and business automation.
POS & Payment Integration
Point-of-sale workflows and integrations with supported payment providers.
The precise scope, features, milestones, delivery dates, fees, and support arrangements for a project should be set out in the applicable proposal or service agreement. We may update or improve our general offerings over time.
Eligibility & Accounts
You must have the legal capacity and authority to enter into an agreement with us. If you engage our services on behalf of a company or another organization, you confirm that you are authorized to act for that organization.
- Provide accurate and current contact and billing information.
- Keep account credentials confidential and restrict access to authorized personnel.
- Notify us promptly if you suspect unauthorized access to an account or project workspace.
Client Responsibilities
Successful delivery depends on timely communication and cooperation from both parties. You agree to provide the information, content, access, approvals, and feedback reasonably required for the agreed work.
- Ensure that materials, images, logos, data, and other content you supply may lawfully be used for the project.
- Review deliverables and communicate feedback within agreed review periods.
- Maintain appropriate backups and secure access to your own systems unless backup services are expressly included.
- Obtain any permissions, licenses, and consents required for your business, customers, and end users.
Delays in receiving required materials, approvals, or access may affect project timelines and delivery milestones.
Payments & Billing
Fees, payment milestones, taxes, renewal charges, and billing schedules will be described in the relevant quotation, invoice, or written agreement.
- You agree to pay undisputed invoices according to the agreed payment schedule.
- Additional features, scope changes, or work outside the agreed deliverables may require a separate estimate and written approval.
- Applicable taxes and third-party charges may be payable in addition to the quoted service fees where specified.
- Any deposit, cancellation charge, refund, or late-payment arrangement must be clearly set out in the applicable proposal or agreement and comply with applicable law.
Do not treat this general section as a substitute for the payment and refund terms in your signed project agreement.
Projects & Deliverables
Project scope and deliverables are based on the approved proposal or statement of work. Timelines are estimates unless a written agreement expressly identifies a binding deadline.
- The client and our team should confirm project requirements, milestones, and acceptance criteria in writing.
- Significant scope changes may affect costs, resources, and delivery schedules.
- Maintenance, ongoing updates, hosting, monitoring, and technical support are included only when agreed.
- Acceptance testing, revision limits, handover materials, and post-launch support should be defined in the project agreement where applicable.
Intellectual Property
Each party retains ownership of the intellectual property it owned or developed independently before the project, subject to any license granted under a written agreement.
Ownership and permitted use of custom source code, designs, documentation, brand assets, prototypes, and other project deliverables should be specified in the relevant proposal or contract. Any transfer of ownership may be subject to full payment and other agreed conditions.
Third-party libraries, open-source software, fonts, stock images, APIs, and platform components remain subject to their own licenses and terms. We do not grant rights that we do not own or have authority to grant.
You remain responsible for ensuring that materials you supply do not infringe another party's rights.
Third-Party Services
Our solutions may connect with external providers, including payment gateways, cloud hosting platforms, analytics services, app stores, messaging providers, shipping systems, and other APIs.
Those providers may apply their own terms, fees, availability limits, security requirements, and privacy practices. Unless expressly agreed otherwise, we do not control the independent operation of third-party services.
Payment processing, settlement times, transaction fees, account approvals, chargebacks, and service availability are generally subject to the applicable payment provider and financial institution. Integration does not guarantee approval or uninterrupted operation.
Acceptable Use
You agree not to use our website, services, or deliverables for unlawful or unauthorized purposes. You must not:
- Attempt to gain unauthorized access to systems, accounts, or data.
- Introduce malicious code, disrupt services, or interfere with the security of our systems.
- Use our services to infringe intellectual property rights, commit fraud, or violate applicable laws.
- Misuse APIs, bypass agreed access restrictions, or attempt to reverse engineer systems where prohibited by law or applicable agreement.
We may investigate suspected misuse and take proportionate steps permitted by the applicable agreement and law.
Confidentiality
During a project, either party may receive non-public business, technical, financial, or operational information from the other party. Where such information is identified as confidential or should reasonably be understood to be confidential, the receiving party should protect it and use it only for the agreed purpose.
Confidentiality obligations do not ordinarily cover information that is publicly available through no breach, already lawfully known, independently developed, or lawfully received from another source without a confidentiality restriction.
Any specific confidentiality, data-processing, or non-disclosure requirements should be documented in a separate agreement where appropriate.
Warranties & Liability
We aim to deliver services with reasonable care and skill in accordance with the agreed scope. However, unless expressly stated in a written agreement, we do not promise that every website, application, integration, or third-party platform will operate continuously or without defects.
Software and digital services may depend on hosting providers, internet connectivity, external APIs, user configuration, and other factors beyond our direct control. We will address support requests according to the applicable support agreement.
To the extent permitted by applicable law, each party's liability, exclusions, and any liability cap should be determined by the applicable signed agreement. Nothing in these Terms is intended to exclude liability that cannot lawfully be excluded or limited.
Neither party should rely on informal statements as a replacement for warranties or commitments expressly recorded in the applicable written agreement.
Termination
A project or ongoing service may be ended in accordance with the termination provisions in the applicable proposal or agreement.
On termination, each party should address outstanding payments, agreed handover obligations, return or deletion of confidential information, and any ongoing access or hosting arrangements as required by the applicable agreement and law.
If a party materially breaches an agreement, the other party may have rights to request a remedy or terminate the engagement, subject to the applicable contract and legal requirements.
Changes to These Terms
We may update these website Terms from time to time to reflect changes in our services, operations, or legal requirements. The revised version will be published on this page with an updated revision date.
Changes to an existing project contract will be handled in accordance with that contract. Where consent or direct notice is required by law or agreement, we will follow the applicable requirement.
